How to Make a Business Plan PowerPoint Presentation With an Elements Template
Are you wondering how to make a business plan with PPT? So far, you've seen top business plan PowerPoint templates that you can use for your presentation.
But you might still be wondering: how do you use those templates to create your own business plan? If these slides are already populated, how do you customize them?

1. Choose a Template
Luckily, choosing a template is the hardest part of this process. And it's only challenging because Envato Elements has such an extensive library of business plan templates!

2. Open the Template
Once you download your template, open it up. It comes packaged as a zip file that you can double click to open. Then, open the PPTX folder. Choose from the animated or non-animated versions, depending on your preferences.

For my example, I'll use the animated version.
3. Select the Slides to Use
As you work with business plan PPT templates, you'll find that they include a ton of slide designs. They usually include far more slide layouts than you'll need. That's not a problem because it helps to have more options. Skip the designs you don't need.
Open the PowerPoint template and select the slides you need. Drag and drop the slides you'll use to the front of the presentation. On the left side of PowerPoint, click and drag the slide thumbnails into proper sequence.

Spend some time thinking about what slides are most crucial to your business plan. Then, drag-and-drop the slides to the top of the deck.
4. Customize Your Slides - Part I
Remember: slide templates are a starting point. They need to be customized with your content to represent your business idea. That's easy to do.
Let's walk through customizing a slide. I'm going to work with slide 37 in the original template. It's a simple team slide that would work perfectly in any business plan.

Most slides are customizable in just a few steps. In this example, here's what I'll change:
- Team images . Click on the photo icon, then browse to your team's photos to add them to the slide.
- Update text . Type over the placeholders with your team's names and titles.
- Slim the slide . Finally, I'll remove the text boxes below each of my team members. Those are better handled as speaking points instead of flooding the slide with too much text.

5. Customize Your Slides - Part II
As you learn how to make a business plan presentation, it may help to see multiple slides customized. Let's work with a second slide from our business plan PowerPoint.
On slide 24, you've got a flexible project status infographic. As you're launching your business, it's important to keep track of your objectives. With the help of a project slide like this one, you can show how key projects are progressing.

Again, this slide is customizable. Here are just some of the steps you can take to customize it:
- Update the headline . Make sure that you update the title to match your business and project.
- Adjust the progress bars . The gradient (blue-green) boxes represent each project stage. Click and drag them to show the percent completion.
- Add your project milestones . Tiny text placeholders are too hard to read. Increase the size and add simple project sections.

The template also comes with lots of icons that you can use to draw attention to key points. And thanks to image placeholders, there's less to learn as you build your business plan in PowerPoint.
3. Set Up Your Template
After downloading a template, you’ll see that you've got a few options to choose from in the main folder before you edit your presentation.
First, decide the ratio of your presentation: 4:3 or 16:9. (Some templates also offer a third, printer-ready mode). It's all about maximizing the screen that you'll share your presentation on.

For this tutorial, I’ll use the 16:9 ratio of the ga-analytics#sendMarketClickEvent">Modern Business Plan PowerPoint Presentation template .
Next, choose whether you want to open up the presentation in PPT or PPTX mode. This depends on the version of PowerPoint you’re using for your presentation.
If you’re using Microsoft Office version 2007 or later, use the PPTX file. If you’re using a Microsoft Office version that was released before 2007, you’ll want to use PPT. Creating and saving your presentation in PPTX allows for greater compatibility of your file with other programs and software. So, opt for that whenever possible.

Now, decide whether you want to create an animated or simple presentation.
- If you choose NO Animation, new slides will appear on the screen immediately as soon as you press the Next arrow.
- If you choose Animation, new slides will appear on the screen through some kind of animation. They may fade in and out or slide in from the side of the screen. Each element of the slide may even pop onto the screen one after the other.
Both versions look and act the same during the editing process of the presentation. Your choice depends on the aesthetics you’d like for your finished products. Since I enjoy animated presentations, I’m going with that version.
Finally, choose your favorite color template. Launch it, and we’re ready to start editing!
4. “Save As” Your Presentation!
It may seem weird to start saving when we haven’t created anything in our presentation.
It's not so weird when you understand the two things we’re trying to avoid:
- We don’t want you to accidentally overwrite your template file with this specific presentation.
- We don’t want you to lose the work due to an unexpected program freeze or any other technical hiccup.
So, after opening your template is to click on File in your horizontal menu bar. Then click Save As…
Give your file the desired name and save it to the appropriate location on your computer.
Note : If you don’t already do so, get into the habit of hitting Ctrl + S (or Command + S , if you’re working on a Mac) every now and again. This will save the latest changes you've made to your presentation.
5. General Editing and Options
In the center of your screen, you've got the first slide of your presentation. In the left you can see a vertical menu containing all the different slides of your presentation. And in the top of your screen you see various horizontal menu bars and options that'll help you edit your presentation.
The great thing about making a PowerPoint presentation from a template is that everything you see on a slide is editable. That means you can make your presentation look exactly like you want it to.
Let’s start with the text elements in this step and move on to the graphic and visual ones in the following step.
Double-click on the title of your first slide to change the words “Our Business Plan” to the name of your presentation. Do the same for the subtitle and all other textual elements on the first slide to add your details.

When you’re happy with the information on the first slide, go over to the menu on the left and click on the second slide. Double-click on any piece of writing or numbers on the slide to edit, just like before. Change the wording to fit your presentation or delete a piece of text entirely if it doesn’t suit your purposes.
Want to add a new line of text where currently no text appears? Click once on the edge of the slide’s grey background to deselect any item you may currently have selected with your mouse. (You should see no editing boxes anywhere on the slide when all items are deselected.) Then insert a text box where you want the new text to appear and begin typing, as in the image below.

Using the top menu of your software, edit any new or existing piece of text to the size, font, color, and look you like. The options are countless!
In the same way, change, add, or delete any textual elements on any of your presentation slides. You can even change text that doesn’t run horizontally on your screen. For example, the word “Renew” in slide 4 of our Modern Business Plan PowerPoint Presentation.

Double-click it and type to edit.
6. Images, Graphics, and Other Elements
Knowing how to make a PowerPoint presentation say exactly what you want it to say is only half the work. The other half is making it show exactly what you want to show. Which is just as easy!
You can edit, change, or delete any icon, picture (or picture placeholder), and graphic element you see on your template.
Let’s start with pictures. The little images with a yellow sun shining over green mountains that you see in the screenshot below and which appear scattered throughout your template mark the location of picture placeholders.

Think of these picture placeholders as ghost pictures. They’re holding the space that your actual picture will occupy once you insert it into your presentation.
When you click on the picture-placeholder icon a dialog box will appear on your screen. Select the picture you want to use from your computer. Or, you can also drag a picture from your computer over to the picture placeholder to add it on.
The best thing about picture placeholders? No matter how large your image is, it'll be automatically resized to fit the area occupied by the placeholder. Look how different my picture looks when I add it to slide 1 of the template.

And when I add it to slide 8 of the template.

Same picture, same process, same template. Both additions took two seconds of my time. And I haven't had to make any changes to my picture. Magic!
A good PowerPoint template doesn’t just allow you to add pictures to your presentation. It also has places for icons.
Pictures are the full-colored photographs or images you can add to a presentation. Icons are simpler graphic elements that help enhance the main points of your presentation through visual representation.
To change an icon in your PowerPoint presentation, click on it once to select it. Then right-click (or click down with two fingers on a Mac trackpad) to bring up the Options menu.

Choose the Change Picture option. When the dialog box opens, find your saved template folder. Choose the icons subfolder, select your desired icon, and click Insert.

Resize, reshape, and recolor all png icons in any way you like using the right-hand side and top menu bars of your program.

Finally, let’s talk about other visual elements of your presentation, such as graphs.
Our template already contains some graphs in it. Like all other elements, these are fully editable. To change a graph, click on the specific element you want to change and drag it to a new position. Change its color or resize it to fit your data.
Notice how in the example below I’ve changed the size and color of both the red and light blue lines in the chart of Slide 6 of our presentation template.

7. Add or Delete Slides
Each business PowerPoint presentation is as different as the entrepreneur or freelancer creating it. Besides changing the text and visual elements of each slide, you may also want to delete entire slides of the template or add new ones.
To delete a slide, select it from the left-hand side menu. Double-click (or click down with two fingers on a Mac trackpad) for the Options menu. Select Delete Slide .

As you can see in the image above, the option above Delete Slide says Duplicate Slide . If you want two slides with the same layout in your presentation, click that option. A new, duplicate slide will be added right after the original one.
The Options menu also gives you the choice to add a New Slide , which will be added right after the slide you’ve clicked on. The Duplicate Slide option will add a new slide to your presentation with the same layout as the one you’re currently on. The New Slide option will add a new, empty slide to your presentation for you to style as you wish.
There’s also a second way of adding new slides that you should know.
Select the place in your presentation where you want the new slide to be added. (Note: new slides are always added after the slide in your current selection.) Click the Insert option from your main horizontal menu bar. The first picture option you see beneath it says New Slide .
If you click on the picture, you’ll get an empty new slide. But if you click on the little arrow to the right of the picture, a menu of template slides will open up for you to choose from.

8. Reorder Your Presentation
The great thing about using a template to create your PowerPoint presentation is that the template acts as a guide to the structure of your presentation. The slides come already ordered in a logical sequence that'll help you present your plan or proposal in a convincing manner.
But that doesn’t mean you can’t make changes to the order of your slides. Reorder the slides in your presentation in any way that suits you and your purposes.
To change the order of your slides, click on a slide in the left-hand side menu to select it. Then click-and-hold your desired slide and drag it to its new position.

9. Add Transitions
Remember that at the beginning of this tutorial I told you I would choose the animated version of the tutorial? Well, you can change even the animation of our business plan presentation to fit your taste.
Click on any slide in your presentation. Then click on Transitions in the main horizontal menu bar of your software. The slide I’ve selected in the image below has a transition called Fly Through . But as you can see in the area I’ve highlighted in red below, you can choose to change that transitions.

You can also change the duration of the transition and even add a sound if you so wish. Keep in mind though, a light touch goes a long way with transition animations.
10. Play Your Presentation
After all the clicks and changes it’s finally time to view the masterpiece you’ve created in real time! Always play your presentation before presenting it to your clients or prospects. Check to make sure that everything flows nicely and makes sense.
The last thing you want is a small transition hiccup or other minor detail to undermine the work you’ve put into creating an awesome presentation.
Go to the beginning of your PowerPoint presentation, choose Slide Show in the main horizontal menu bar. Then click the first option below that, Play from Start . Sit back and enjoy!

It should tell an audience about your business and the products or services it offers. It has to detail where you’re planning to take your business and how you’re planning to get there.
A business plan presentation should also outline those all-important figures; what will you do with investment and what do investors or stakeholders stand to gain?

Whilst you have to know your entire business plan inside out (and be prepared to expand on points if investors and stakeholders have questions), the presentation is an opportunity to highlight need-to-know informational nuggets.
Aim to give investors just enough info to spark their interest and see your potential, without overloading them with the finer details.

Let’s be honest. You won’t get very far without a great business idea and numbers proving its profitability. But forgetting about business plan presentation design is a huge mistake.
Bad design can hamper your message and investors’ confidence in your abilities . A visually confused presentation can’t help but leave a bad impression.
Good presentation design, on the other hand, can help you to communicate your ideas more effectively. It will help you to maximize the potential of every slide, saying more without cramming in tons of text.
It will also help you to engage your audience from the very start.
Some investors sit through lots of pitch presentations. Yours should grab their attention. It should assure them of your professionalism and capability. And it should stick in their memory for all the right reasons.
Good presentation design can help you to achieve all of the above.

The perfect business plan presentation should fit into 10 slides — 20 at the absolute most. It should take no longer than 20 minutes to deliver . But, what should be included? Here, we’ve listed the key contents that investors care about the most:

But start by keeping things short , sweet and digestible as per the structure below. And don’t forget to maximize the potential of each business plan slide by giving careful thought to design.
Cover slides are too often an afterthought. But this first slide has so much potential.
Your cover slide is your first impression. And — as we know — first impressions count. Especially when you have limited time in which to convey what you and your business are all about.
A cover page should include your company logo and (if you have one) your slogan. It should also feature a title that summarizes your offering.
This slide won’t be information-heavy, but with the right design it can communicate a lot about you and your business.
How good slide design can help:
Cover slide design sets the scene. It’s an introduction to you — a professional who takes every aspect of their business very seriously. And it should hook your audience from the very start.

Pick a visually appealing font and layout. Start with a cohesive design you can stick to for the rest of the presentation.
Corporate presentations in blue tones have been seen many, many times before. So when it comes to colors, try to stand out from the crowd. Pick strong but complementary shades, without going too garish or OTT.

Also, go big and emotional with images. Images provoke an emotional reaction in an audience that just isn’t possible with text alone.
So give center stage to an image that reflects what your business wants to achieve for its customers. You’ll draw your audience in with design, ready to hit them with business plan facts and figures.
What problem will your business solve? An audience needs to understand the full extent of this problem before you tell them how you plan to solve it.
So use this slide to explain why this pain point exists, how many people experience it and what it feels like to experience it.
Facts will convince your audience whilst good storytelling will appeal to their emotions too.
Color here is really important. With it, you can associate your brand with the solution rather than the problem.
Pick a color that contrasts with those used in your business branding. Then use this color to present the problem.

If you’re struggling to pick the right contrast, take a look at the color wheel . Find your primary brand color. Then pick a contrast in the other half of the wheel, avoiding the one directly opposite.
When presenting figures, pick three or four impactful numbers and put them in a BIG font. You’ll surprise your audience with both the content and appearance of your slide, emphasizing the size of the problem in the process.
Your audience understands the problem. Now it’s time to tell them the solution you envisage.
Keeping things simple will create more impact. Diagrams, sketches or just a single sentence will make your solution digestible and memorable.
Back to brand colors with this slide! This will create a link between your brand and the ingenious solution in the mind of your audience.
Creating the right emotion is also really important here. Get your audience to feel something and your solution is much more likely to stick in their memory.
Color and image are key to emotional design . They provoke immediate and largely subconscious responses in an audience. So think carefully about the visuals you include on this slide.

As human beings, we’re instantly drawn to faces. So you could use photos of people looking happy and content along with a calming color scheme to communicate a sense of positivity.
Do it right and your audience will associate those feelings with your brand and your solution.
Your idea might sound great. But unless you have proof that your proposed market is actually interested in it, you won’t convince investors.
Use this slide to describe your market and your business niche within it. Give evidence of customer interest in your product and service, providing data that demonstrates the market size and potential growth too.
Video is a great way to showcase the opinions of your prospective customer base. So embed some short and snappy video interviews into your slide. Plus, it will give you a break from doing all the talking too!
When it comes to showing market data, take some time to think about your chart design. All charts should fit with the color scheme of your business plan presentation. Leaving your charts unedited is amateurish and a huge design no-no.

Also consider what exactly it is you’re trying to say with this data. You can then use color along with other data storytelling techniques to really highlight the important numbers and keep an audience’s attention where you want it.
Who are you up against when it comes to solving this problem and winning over your prospective customers?
Your investors will want to know all about your competition and what you plan to do differently. This slide should show how your customers are currently handling the problem you plan to solve and how alternative solutions compare with yours.
You can be a little sneaky with this slide. Use design to show your competitors in a less favorable light than your own brand.
That could mean displaying their logos in black and white and yours in full color. If you’re using a competitive matrix chart, you could use the most appealing color to represent your company.

And if you want to show screenshots or images of competitor products, opt for the least attractive ones you can find, remembering all the while that your competitors will be doing exactly the same thing to you one day!
The business model
This is where you tell your investors just how you are going to make money — and grow theirs in the process. Solid numbers are the only way to win your audience over.
You should show the cost of customer acquisition and their lifetime value. Financial projections for the years to come, featuring cash flow, burn rate and break-even point are another essential.
Also be clear on what your investors stand to gain and when they can cash out. They’ll only ever be interested in your product and how it helps your audience if it also boosts their bottom line.
This is one slide where balancing depth of content and audience engagement is really important — and a little bit tricky.
There’s probably lots of info you want to communicate to your audience at this point. Try to keep it simple (but not so simple that your investors don’t have enough data to go off).

This means making the most of every chart. Play around with different charts until you find one that displays your data as simply as possible. Your audience should be able to process the figures at a glance.
And don’t forget to customize! Highlights, color and great data storytelling will help you to convey your numbers clearly and legibly.

What is the business but the team behind it? Investors often want to get a sense of the great minds running your brand.
This slide is an opportunity to introduce them to the management team (and give a sense of their competence and dedication to the task at hand).
Provide brief bios (no life stories here please!) and work to paint a picture of expertise in as little time as possible.
Concise bios and professional headshots are a must. If possible, take photos of team members in the same session so lighting and location are consistent.
Professional photography gear isn’t essential. Smartphone cameras have pretty good capabilities these days.

But, whatever you do, don’t leave it to the last minute. You’ll end up with the pics your team have had on their Twitter profile since 2014, which definitely won’t fill your investors with the required confidence.
So, your investors are prepared to cough up the cash you’re looking for. How much do you need and what will you do with it?
This slide is a place to list your goals, and demonstrate how you’ll reach profitability (or a next round of funding) with the money your investors are putting up.

Harvard Business School professor John T. Gourville calls this the “ 9x Effect .” Left unchecked, it can be disastrous for your business.

According to Gourville, “It’s not enough for a new product simply to be better. Unless the gains far outweigh the losses, customers will not adopt it.”
The good news: You can influence how prospects perceive these gains and losses. One of the best ways to prove value is to contrast life before and after your product.
Luckily, there’s a three-step formula for that.
- Before → Here’s your world…
- After → Imagine what it would be like if…
- Bridge → Here’s how to get there.
Start with a vivid description of the pain, present an enviable world where that problem doesn’t exist, then explain how to get there using your tool.
It’s super simple, and it works for cold emails , drip campaigns , and sales discovery decks. Basically anywhere you need to get people excited about what you have to say.
In fact, a lot of companies are already using this formula to great success. The methods used in the sales presentation examples below will help you do the same.
We’re all drawn to happiness. A study at Harvard tells us that emotion is contagious .
You’ll notice that the “Before” (pre-Digital Age) pictures in Facebook’s slides all display neutral faces. But the cover slide that introduces Facebook and the “After” slides have smiling faces on them.
This is important. The placement of those graphics is an intentional persuasion technique.
Studies by psychologists show that we register smiles faster than any other expression. All it takes is 500 milliseconds (1/20th of a second). And when participants in a study were asked to recall expressions, they consistently remembered happy faces over neutral ones.
What to do about it : Add a happy stock photo to your intro and “After” slides, and keep people in “Before” slides to neutral expressions.
Here are some further techniques used during the sales presentation:
Tactic #1: Use Simple Graphics
Use simple graphics to convey meaning without text.
Example: Slide 2 is a picture of a consumer’s hand holding an iPhone — something we can all relate to.
Why It Works: Pictures are more effective than words — it’s called Picture Superiority . In presentations, pictures help you create connections with your audience. Instead of spoon-feeding them everything word for word, you let them interpret. This builds trust.
Tactic #2: Use Icons
Use icons to show statistics you’re comparing instead of listing them out.
Example: Slide 18 uses people icons to emphasize how small 38 out of 100 people is compared to 89 out of 100.
Why It Works: We process visuals 60,000 times faster than text.
Tactic #3: Include Statistics
Include statistics that tie real success to the benefits you mention.
Example: “71% lift driving visits to retailer title pages” (Slide 26).
Why It Works: Precise details prove that you are telling the truth.
Just like how you can’t drive from Marin County to San Francisco without the Golden Gate, you can’t connect a “Before” to an “After” without a bridge.

Keep slides that have bullets to a minimum. No more than one in every five slides.

Tactic #3: Use Visual Examples

“Customer logos won’t all necessarily have the same dimensions, but keep them the same size visually so that they all have the same importance. Uber’s headlines in Slides 2-9 tailor the “After” picture to specific pain points. As a result, there’s no need to explicitly state a “Before.”

Slides 11-13 then continue touching on “Before” problems tangentially with customer quotes:

So instead of self-touting benefits, the brand steps aside to let consumers hear from their peers — something that sways 92% of consumers .
Leading questions may be banned from the courtroom, but they aren’t in the boardroom.

Tesla stock down as investor day falls short on specifics

Electric vehicle maker Tesla hosted a 2023 investor day presentation in Austin, Texas, on Wednesday. CEO Elon Musk took the stage to share his "Master Plan 3," and to discuss how Tesla plans to scale up in the face of increasing competition.
The presentation was long on vision, and included a review of prior achievements, but short on specifics about any new Tesla products or services.
Near the beginning of the presentation, Musk said: "There is a clear path to a sustainable-energy Earth. It doesn't require destroying natural habitats. It doesn't require us to be austere and stop using electricity and be in the cold or anything." He added, "In fact, you could support a civilization much bigger than Earth, much more than the 8 billion humans could actually be supported sustainably on Earth."
Musk was initially joined on stage by Drew Baglino, senior vice president of powertrain and energy engineering at Tesla. They discussed a future in which the company would play a role in "re-powering the grid with renewable fuels" as they ramp up battery production, both for Tesla's electric vehicles and for the company's utility-scale energy storage systems.
Tesla's goal is to produce 20 million electric vehicles per year by 2030, executives reiterated. The company reported full-year deliveries of around 1.31 million vehicles in 2022.

During a question-and-answer session following the three-hour presentation, executives fielded a question about how Tesla could grow its market share in China.
Elon Musk passed the question to Tom Zhu, who is heading up global production and has run the China and APAC businesses for Tesla for years. "As long as you offer a product with value at affordable price you don't have to worry about demand," Zhu said. "We try everything to cut costs," he added, "and pass down that value to our customers."
Musk then added, "Demand is a function of affordability not desire." He said, "Even small changes in the price have a big effect on demand."
Zhu also announced that as of Wednesday, Tesla had produced 4 million cars in total.
"It took us 12 years to build the first million, and about 18 months to the second million. The third million, 11 months. Then less than seven months to build the 4 millionth," Zhu said, touting the company's improving operational efficiency.
He said Tesla plans to construct new car and battery cell factories, and also to produce more cars per year at its existing factories.
Tesla charging leader Rebecca Tinucci said that in 2022 the company provided 9 terawatt hours across charging methods, including home charging including 40,000 Superchargers. (By way of comparison, the entire U.S. consumes about 4,000 terawatt hours of electricity per year.) Tinucci also noted that about half of the company's Superchargers in the EU are open to other vehicles, and that the company just opened 10 Superchargers in the U.S. to non-Teslas.

JPMorgan downgrades electric vehicle stock Nio, says expectations are too high
Tesla design leader Franz von Holzhausen and the company's vice president of vehicle engineering, Lars Moravy, took the stage to show off a number of planned manufacturing changes meant to improve the efficiency of Tesla vehicle production. But von Holzhausen said that Tesla would not yet reveal its "next gen" vehicle.
The company's powertrain vice president, Colin Campbell, said that Tesla's next powertrain factory will be 50% smaller than the one in Austin but will have the same capacity. He also said the company is working on a new kind of drive unit that is compatible with any battery cell type, and a motor that will be built without any rare earth metals.
Ahead of the 2023 investor day, at a news conference on Tuesday, Mexico's president, Andres Manuel Lopez Obrador, said Tesla had agreed to build a large factory in Monterrey, Mexico . He said the company agreed to use recycled water and take other initiatives to cope with water scarcity in the region.
Musk confirmed the factory plans on Wednesday, and said production there would supplement, rather than replace, any manufacturing at other Tesla facilities.
Tesla shares have rebounded from declines during 2022, and are up more than 60% for the year so far. However, the stock dropped 1.43% on Wednesday before the event, and 5% after-hours.
Mizuho Securities analysts maintained a buy rating on shares of Tesla ahead of investor day, seeing the company in a leadership position in a growing market for fully electric vehicles. They wrote in a note earlier this week, "Near-term, we see continued strength in TSLA's market share, but see cheaper competitor EVs coming to market as potentially dilutive to TSLA's share of the US EV market."
Currently, the lowest-priced Tesla available is the Model 3 sedan, which starts at a price point of around $43,000, they wrote. Seven models from other automakers are currently priced below that, Mizhuo noted.
Musk's ambitious "Master Plan, Part Deux " was published in 2016, and has not been completely fulfilled. It included four main objectives:
- "Create stunning solar roofs with seamlessly integrated battery storage"
- "Expand the electric vehicle product line to address all major segments"
- "Develop a self-driving capability that is 10X safer than manual via massive fleet learning"
- "Enable your car to make money for you when you aren't using it" .

4. Outsourcing to independent contractors
Working with independent contractors and freelancers can improve your business’s efficiency and productivity by bringing in people with specialized skills and expertise to handle tasks you aren’t personally proficient in. However, it's important to be aware that independent contractors are NOT employees. Businesses must not mistakenly treat individuals as independent contractors when they should be classified as employees.
So, what’s the difference? The IRS has classification rules for differentiating between independent contractors and employees. Some states have even more definitive parameters for distinguishing the two. Generally, independent contractors are self-employed professionals who enter into an agreement (written or verbal) with a business or individual.
- They are not on their clients' payroll but issue invoices to request payment for their services.
- Unlike company employees, independent contractors do not receive benefits or paid time off from their clients.
- Independent contractors are mainly in control of how and when they work, whereas those things are usually dictated to employees by their employers.
- Typically, contract workers are responsible for providing the tools and equipment needed to perform their assignments.
- While the business paying an independent contractor may set the goals and deliverables for projects and assignments, the independent contractor decides how to best accomplish their assigned tasks.
- Independent contractors are responsible for reporting and remitting their taxes (including self-employment taxes) to the IRS, state, and local tax authorities.
When working with independent contractors, there are two tax-related forms businesses must pay attention to.
- They should request a Form W-9 from the independent contractor, which identifies the individual’s personal information for tax purposes (Compensation paid to independent contractors is tax-deductible for a business.)
- Businesses should issue Form 1099-NEC to any independent contractors to whom they paid more than $600 in the year.
5. Expanding your business out of state
What if you want to expand your business operations beyond your home state (where you initially formed your business)? When a business created in one state meets the definition of “conducting business” or “nexus” in another state, it must seek authorization to operate in the new state. Typically, that means completing a process called “foreign qualification.”
A business is considered a domestic entity in the state where it’s initially registered and a foreign entity in any state where it’s foreign qualified.
Definition of conducting business
What constitutes “conducting business” varies by state. Generally, states consider that a company is conducting business if it meets one or more of the following criteria:
- Has a physical presence (office, warehouse, or retail store) in the state
- Has employees working in the state
- Holds in-person meetings with clients or customers in the state
- Has reached a certain sales threshold in the state
The following activities alone usually do not qualify as doing business in a state:
- Defending or settling a lawsuit in the state
- Collecting debts in the state
- Conducting internal business activities, such as holding LLC member meetings in the state
- Having a bank account in the state
- Selling services or products through independent contractors in the state
- Engaging in isolated, non-repeated transactions completed within 180 days in the state
What does nexus mean?
Nexus implies that a business has a physical or economic connection to a state. Determining nexus can get complicated because different states have their own interpretation of what nexus is.
General characteristics of nexus
- The company has a physical presence—such as an office, warehouse, store, or employees—in the state.
- The company has reached a certain sales threshold, with or without a physical presence, in the state. Many states consider a business to have economic nexus if it has $100,000 in sales or 200 sales transactions (or both) in the state during the year.
The rules for determining nexus change often and vary from state to state. So, it’s critical for business owners to research and stay on top of nexus rules in any states where they have staff, physical locations, or sell their products and services.
Where to turn for guidance
Most state and local government websites provide business registration, licensing, and tax information. They also post contact information for the agencies that oversee business activity in their jurisdictions. For federal tax-related information and employer issues, the IRS and Department of Labor websites are excellent resources.
